REAL4CASH Affiliate Terms of Service

This Affiliate Agreement ("Agreement") is between you ("Affiliate") and CPP Inc. (“REAL4CASH”) In consideration of the right to access and use the Company’s Websites, http://www.REAL4CASH.com, ("Website"), User agrees to the terms and conditions of use set forth in this Agreement. User's continued use of the Website indicates User's willingness to be legally bound by the terms and conditions of this Agreement as set forth below.

To participate in REAL4CASH, the Affiliate must be at least 18 years of age.

Notice to Affiliates

You may not use any illegal content to promote any product or website connected to REAL4CASH in any way nor may you allow advertising for a REAL4CASH to be placed on any websites which condone any illegal activity. Illegal activity includes, but is not limited to, any content and/or activity which may run afoul of any law, rule, or regulation in the United States of America and/or the location where you are located such as, without limitation and by way of example only, child pornography/exploitation, rape, brutality, incest, bestiality, necrophilia, drugging/incapacitation, blood/mutilation, death, or snuff. REAL4CASH may scan any websites submitted under the Affiliate Program to ensure that there is no non-compliant content. If we believe, in our sole and absolute direction, that you are promoting REAL4CASH in violation of these Terms, your account will be immediately terminated and all moneys which would have otherwise been payable to you hereunder will be deemed surrendered by you in partial payment of the damages for your breach. In addition, as and when REAL4CASH is alerted to any content it considers, in its sole and exclusive opinion, to be questionable, REAL4CASH may either terminate you as set forth above or provide you with a grace period as determined by REAL4CASH, in its sole discretion, to remove the objectionable content;

Furthermore, a domain registration search may be conducted in connection each new affiliate registration application. In cases where the domain registration is hidden or cannot be confirmed, the affiliate applicant will be classified as non-compliant until proof of ownership is provided;

Affiliates whose uniform resource locator (URLs) are not functional, whose traffic immediately redirects to another URL or who do not have content may be considered to be in violation of these Terms;

Once your affiliate account is approved and active, the URLs submitted are subject to review and any such review, if undertaken, may result in closure of your account and forfeiture of moneys otherwise due to You if the review reveals that You have violated any clause or section of these Terms. Furthermore, any additional URLs that You choose to direct traffic from must be communicated to your affiliate manager. Failure to do so may result in the suspension and/or termination of your affiliate relationship and closure

The use of any domain name(s) or URL's that incorporate or are confusingly similar to any trademarks, service marks, or URLs owned by anyone besides the affiliated account, as determined by REAL4CASH, in its sole discretion from time to time, is expressly prohibited. In the event that you do not comply with this notice, REAL4CASH shall be entitled to reduce or cease the payout or payment amount otherwise due to Affiliate accordingly.

Reservation of Rights to Terminate Program, Affiliate Accounts and Change Payouts

1. REAL4CASH reserves the exclusive right to change and/or amend these terms and conditions at any time and without notice. Failure to comply with these terms of service, will result in immediate account closure. Any attempt to defraud the REAL4CASH program will result in the termination of the Affiliate's account and the forfeiture of any and all monies due. REAL4CASH reserves the right to cancel this program at any time, without prior notification. In such a case, you will be notified immediately and paid for generated revenue accumulated up to that point in time within a reasonable period of time, except in cases where it is determined that you have violated this agreement in any way.

2. REAL4CASH reserves the exclusive right to deny any prospective affiliate admittance into our program, based on the content of the affiliate's website or for any other reason. REAL4CASH reserves the exclusive right to change the payout rate without notice.

Affiliate Covenants

3. Affiliate agrees that Affiliate's or any affiliated sites will not contain any illegal and/or objectionable materials, including, but not limited to, child pornography, rape, incest or bestiality.

4. Affiliate agrees to refrain from any and all illegal activities in promotion of REAL4CASH programs/products. Affiliate s promoting REAL4CASH are expected to adhere to acceptable usage policies for any sites used to promote the program. Abuse reports received are logged and investigated by REAL4CASH, and if found to be valid, accounts may be suspended or terminated without prior notice and payments withheld. Affiliate agrees to indemnify REAL4CASH for all liability and damages arising out of Affiliate 's activities, including attorney's fees.

5. Affiliate agrees not to modify REAL4CASH 's code during and after Affiliate 's affiliation with REAL4CASH. Affiliate agrees that any proposed modifications are expressly subject to the sole discretion/approval of REAL4CASH. Any unauthorized modifications and/or copying by Affiliate will result in immediate termination of Affiliate 's account and REAL4CASH will be entitled to pursue all available remedies under all applicable laws and/or equity.

6. Affiliate agrees that signups sent to the program are in fact valid and true - any attempt to fraud the system in any way will result in account termination.

7. Affiliate understands and agrees that any violation of the aforementioned terms and conditions by Affiliate will result in total cancellation of and forfeiture of any and all payment(s) for any activity on Affiliate 's account.

8. Affiliate agrees that REAL4CASH has the exclusive right to determine if any violation(s) have occurred.

9. Affiliate agrees not to send hits from newsgroup or email spam. They will not be counted, and you will not be paid for them. Any attempt to defraud the REAL4CASH program will result in the termination of the Affiliate 's account and the forfeiture of any and all monies due.

10. Affiliate agrees that test signups are not allowed. REAL4CASH reserves the right to deduct or refuse payment for the join or cancel the account entirely.

11. Affiliate agrees not to modify surfers' browser settings without the surfers' express consent will be presumed to be sending unsolicited advertising. These cases will be treated in the same way as email spam and will result in the termination of the Affiliate 's account and the forfeiture of any and all monies due.

12. Affiliate understands that he/she will earn the current percentage rate of revenue generated by joins sent through the Affiliate's REAL4CASH link, less the same percentage of any credits and chargebacks which occur. Earnings continue for the life of the member account.

13. Affiliate agrees that signups sent to the program are in fact valid and true - any attempt to fraud the system in any way will result in account termination. Each such sale, which also complies with all other terms of these Terms, is referred to herein as a “Valid Subscription”. Only subscriptions that do not result in a refund or reversal in the first 24 hours of membership and do not otherwise violate any of these Terms shall be considered a Valid Subscription.

14. Affiliate understands and agrees that any violation of the aforementioned terms and conditions by Affiliate will result in total cancellation of and forfeiture of any and all payment(s) for any activity on Affiliate 's account.

15. Affiliate agrees that Affiliate 's account will be credited with the referred Affiliate only if referred Affiliate is sent via the provided link.

16. In order to receive payment, Affiliate understands that referred Affiliate 's account must be current and active, and in complete compliance with REAL4CASH terms and conditions.

Payment Terms

17. REAL4CASH will not allow Affiliates to directly or indirectly offer third parties any incentive or bonus (including but not limited to payment of money, discounts, products or other benefits) for viewing or joining REAL4CASH products using their REAL4CASH affiliate linking code, nor will Affiliate s require third parties to join sites as a requirement to accessing other products or services.

18. REAL4CASH has a pay structure based on traffic productivity. We reserve the right to terminate an account and pay Affiliate all monies due (unless the Affiliate is found to be cheating) within a reasonable period of time.

19. REAL4CASH processes payments bi-weekly. The REAL4CASH system updates on every second Sunday at 12AM PT, payments are processed over the next two days and payments are made at that point.

20. REAL4CASH is not responsible for any loss (economic or otherwise) due to downtime resulting from complications with your hosting equipment or technical errors.

21. Programs.

(a) Pay Per-Signup Program: REAL4CASH shall pay an Affiliate a pre-determined amount per Valid Subscription. The precise amount payable per Valid Subscription shall vary depending on the REAL4CASH Website to which a Valid Subscription is referred and shall be disclosed from time to time on the Affiliate Program website and is subject to change in accordance with the Terms.

(b) Revenue Sharing Program: REAL4CASH shall pay an Affiliate a pre-determined revenue share percentage for all Valid Subscriptions and rebills that the Affiliate's traffic generates using the Affiliate Program. The precise revenue sharing percentage payable under this option shall vary depending on the REAL4CASH Website to which a Valid Subscription is referred and shall be disclosed from time to time on the Affiliate Program website and is subject to change in accordance with the Terms.

Payment Methods

22. REAL4CASH offers affiliates three options for payment. Affiliate may choose one of the following;

(a) Paypal;

(b) Wire Transfer;

The minimum payout for each individual affiliate account shall be $150.00.

23. REAL4CASH is not responsible for any charges by third parties associated with any method of payment.

24. REAL4CASH is not responsible for funds after they have been submitted to Paxum. Paxum is not required to follow federally funded bank guidelines; they do not provide confirmation numbers and are not guaranteed like bank wires. We will provide whatever confirmation we have those funds have been sent, but REAL4CASH is not responsible for affiliate access to those funds in Paxum. All disputes of funds not received should be directed at Paxum customer service.

General Terms

25. Indemnification. To the extent permitted by applicable law, Affiliate agrees to indemnify and hold harmless, and upon REAL4CASH's request, defend, Company , its directors, officers, employees, independent contractors and agents (each a "Company Indemnified Party") from any and all claims, losses, liabilities, damages, taxes, expenses and costs, including without limitation, attorneys fees and court costs (collectively, "Losses"), incurred by a Company Indemnified Party and arising from or related to any of the following: (i) Your breach of any certification, covenant, obligation, representation or warranty in this Agreement; (ii) any claims that you have violated or infringed any third party intellectual property or proprietary rights including but not limited to any metadata, related trademarks and logos, or images and other materials that You provide to Company under this Agreement; or (iii) Your use of the Company’s Software or services.

26. Dispute Resolution and Choice of Law. This Agreement shall be governed by the procedural and substantive laws of the state of California, notwithstanding any otherwise applicable choice or conflict of law provisions to the contrary. In the event that the parties cannot negotiate a resolution of any dispute, then the parties agree to submit their dispute to mediation, and then to arbitration, in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The place of any mediation or arbitration shall be in Los Angeles. The prevailing party in any arbitration shall be entitled to reasonable attorneys’ fees and expenses.

27. Equitable Relief. Notwithstanding the foregoing, User acknowledges that the performance of its obligations hereunder and the rights and licenses assigned to Company hereunder may be of a unique, unusual, extraordinary and intellectual character which could give them a special value, the loss of which may not be reasonably or adequately compensated in damages in an action at law, that a breach by User of this Agreement may cause Company great and irreparable injury and damage and, therefore, while expressly reserving all of Company 's rights and remedies hereunder, Company will be entitled to seek injunctive relief to prevent such injury or damage.

28. Merger. This Agreement shall not be terminated by the merger or consolidation of Company into or with any other entity.

29. Confidentiality. Other than as may be required by law, or governmental authority, the parties agree that neither of them shall publicly divulge or announce, or in any manner disclose to any third party any of the specific terms and conditions of this Agreement and the parties further warrant and agree that none of their officers and directors will do so as well.

30. Assignment/Modification. Neither party shall assign their rights or delegate their duties hereunder without written consent of the other party. No amendment, change or modification of this Agreement shall be valid unless in writing signed by the parties hereto

31. Headings. Paragraph headings, as used in this Agreement, are for convenience only and are not a part hereof and shall not be used to interpret any provision of this Agreement.

32. Waiver. Waiver by one party hereto of breach of any provision of this Agreement by the other shall not operate or be construed as a continuing waiver.

33. Entire Understanding. This document constitutes the entire understanding and agreement of the parties, and any and all prior agreements, understandings, and representations are hereby terminated and canceled in their entirety and are of no further force and effect.

34. Unenforceability of Provisions. If any provision of this Agreement, or any portion thereof, is held to be invalid and unenforceable, then the remainder of this Agreement shall nevertheless remain in full force and effect.

35. Notices. Any and all notices, demands, or other communications required or desired to be given hereunder by any party shall be in writing and shall be validly given or made to another party if personally served, or if deposited in the United States mail, certified or registered, postage prepaid, return receipt requested. If such notice or demand is served personally, notice shall be deemed constructively made at the time of such personal service. If such notice, demand or other communication is given by mail, such notice shall be conclusively deemed given five days after deposit thereof in the United States mail addressed to the party to whom such notice, demand or other communication is to be given. Notices to Company shall be sent to via email to affiliate@REAL4CASH.com

Any party hereto may change its address for purposes of this Paragraph by written notice given in the manner provided herein.

36. Counterparts. This Agreement may be executed shall be as valid and enforceable under the Uniform Electronic Transactions Act as well as US ESign Act of 2000 as the original signature.
